This User Agreement (“Agreement”) is a legally binding contract between you (“User,” “Client,” “you”) and LASTEN LLC, a company registered in the United States, located at:

This Agreement governs your use of our services related to U.S. company formation, tax compliance, U.S. address and phone setup, and other related business support services (collectively, the “Services”). By using our Website, purchasing any Services, or communicating with us, you agree to the terms of this Agreement.

1. ELIGIBILITY

By using our Services, you confirm that: - You are at least 18 years old. - You have legal capacity to enter into binding contracts. - You provide accurate information necessary for service delivery.

2. SERVICES PROVIDED

LASTEN LLC provides administrative, consulting, and organizational services, including but not limited to: - U.S. company formation (LLC, Corporation, etc.) - EIN/ITIN application assistance - U.S. tax preparation and compliance support - Registered agent coordination - U.S. address and phone number setup - reporting, and compliance guidance.

We are not a law firm, and we work with trusted partners who can provide licensed attorney or CPA services when required by law. We are not, CPA firm, or legal/tax authority. All information and guidance are provided for general informational purposes.

3. PROFESSIONAL PARTNERS

LASTEN LLC itself does not provide licensed legal, tax, or CPA services. When such services are required by law or by the Client’s situation, we collaborate with trusted professional partners — licensed attorneys and certified public accountants — who may provide these services directly to the Client.

4. USER RESPONSIBILITIES

You agree to: - Provide complete and accurate information. - Submit required documents on time. - Comply with U.S. laws and state regulations. - Make all necessary payments to government agencies (state fees, IRS fees, registered agent fees, etc.)

LASTEN LLC is not responsible for delays or failures caused by missing or incorrect information.

5. PAYMENT & FEES

All fees for Services must be paid in full prior to delivery. Government filing fees, registered agent fees, and third-party service fees are not included unless explicitly stated.

Payments are non-refundable once work has started. However, if an error occurs due to our fault, LASTEN LLC will fully reimburse the Client for the damage directly caused by that error and will take all necessary steps to correct it.

6. THIRD-PARTY SERVICES

Our Services may require cooperation with third‑party providers, including: - Registered agents - Payment processors - Phone service providers - Government agencies

We are not responsible for their actions, decisions, delays, or errors.

7. DELIVERY & TIMELINES

All timelines (for company formation, EIN, address setup, etc.) are estimates and depend on government processing times. LASTEN LLC is not liable for delays outside our control.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by U.S. law, LASTEN LLC is not liable for: - Lost profits - Business interruption - Government refusals or delays - Penalties caused by incorrect or untimely information provided by the User - Any indirect, incidental, or consequential damages

Our total liability is limited to the amount paid for the Service in question.

9. INDEMNIFICATION

You agree to indemnify and hold harmless LASTEN LLC from any claims, damages, or losses resulting from: - Your actions or omissions - Your failure to comply with U.S. laws or regulations - Information you provide to us or to government agencies

10. CANCELLATION & REFUND POLICY

Because our Services include administrative and filing tasks that begin immediately, all fees become non‑refundable once work has started.

In cases where no work has begun, a refund may be considered at the sole discretion of LASTEN LLC.

11. PRIVACY & DATA USE

We do not sell or share personal data with unrelated third parties.

12. GOVERNING LAW

This Agreement is governed by the laws of the State of California, USA. Any disputes must be resolved in state or federal courts located in California.

13. AMENDMENTS

We may update this Agreement from time to time. Continued use of the Services constitutes acceptance of updated terms.
